    These Terms and Conditions (the "Terms") govern your access to and use of www.emiratestransformer.com and all related regional subdomains, microsites, online tools and content (collectively, the "Site"), as well as any quotation, order, product or service supplied by Emirates Transformer & Switchgear LLC and its affiliated entities ("ETS", "ETS Group", "we", "us" or "our"). By accessing the Site or engaging with us commercially, you confirm that you have read, understood and accept these Terms. If you are using the Site or transacting on behalf of an organisation, you warrant that you have the authority to bind that organisation. If you do not agree, please discontinue use of the Site and our services.

    Acceptance of these Terms

    Your access to the Site and any commercial engagement with ETS is conditional on your acceptance of these Terms together with any specific terms incorporated by reference (such as a signed Purchase Order, Master Supply Agreement, Service Agreement, NDA, or quotation-specific commercial terms). Specific contract terms always take precedence over these general Terms in case of conflict. We may update these Terms from time to time; the version published on this page on the effective date applies to your use thereafter.

    About ETS Group

    ETS Group is a global manufacturer of distribution and power transformers, low- and medium-voltage switchgear, packaged substations and related electrical equipment, headquartered in Dubai with operations across the United Arab Emirates, the United States and the United Kingdom. The lead contracting entity is Emirates Transformer & Switchgear LLC, P.O. Box 16842, Jebel Ali, Dubai, UAE. Regional engagements may be executed by ETS USA or by Sura Power Ltd in the United Kingdom; the contracting entity for any given order is identified in the relevant quotation or contract.

    Use of the Site and Digital Tools

    We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and our online tools — including the RFQ forms, calculators (kVA, fault current, currency, sizing advisor), transformer configurator and 3D viewer — for legitimate business research, evaluation and procurement purposes. You agree not to: • copy, scrape, mirror, frame or systematically extract content; • reverse-engineer, decompile or attempt to discover the source code of any tool; • upload viruses, malware or any code intended to disrupt, damage or gain unauthorised access; • misrepresent your identity, affiliation or technical requirements; • use the Site or its tools in a way that violates any applicable law or these Terms. We may suspend or terminate access for any user who breaches these conditions.

    Intellectual Property

    All content on the Site — including text, photographs, drawings, CAD models, 3D assets, datasheets, calculators, configurator logic, code, layouts, the ETS name and logos — is the intellectual property of ETS Group or its licensors and is protected by copyright, trademark, design and other applicable laws. You may view, save and print reasonable extracts solely for your internal evaluation of an actual or prospective project with ETS. You may not reproduce, modify, distribute, publicly display or use any of our content for any other purpose without our prior written consent. Any technical drawings, single-line diagrams or design proposals issued during a quotation process remain the property of ETS until expressly transferred under a signed contract.

    Product Information and Specifications

    All product information published on the Site — including ratings, dimensions, weights, losses, lead times, photographs and 3D models — is indicative and intended for general guidance. Actual products are engineered to order against specific customer requirements, applicable standards (IEC, IEEE, BS EN, ENATS, GSO) and site conditions. Final binding specifications, tolerances, performance data, test reports and Bills of Materials are those set out in the formal quotation, approved General Arrangement (GA) drawing and Factory Acceptance Test (FAT) report agreed in writing for each project.

    Quotations, Orders and Contracts

    Quotations issued by ETS are valid for the period stated on the quotation (typically 30 days) and are subject to availability of raw materials, manufacturing slots and re-confirmation at the time of order. RFQs submitted through the Site, the Get-a-Quote modal or by email are not orders and do not by themselves create any binding commitment between you and ETS. A binding contract is formed only when (i) you issue a Purchase Order referencing a current ETS quotation, and (ii) ETS issues a written Order Acknowledgement, or when both parties sign a Supply Agreement or framework contract. Any client terms printed on a Purchase Order are excluded unless expressly accepted by ETS in writing.

    Pricing, Payments and Currency

    Prices are quoted in the currency stated on the quotation (typically AED, USD or GBP) and are exclusive of VAT, withholding tax, customs duties and any other applicable levies, unless explicitly stated. Unless otherwise agreed, payment terms are 30% advance against Proforma Invoice, 60% against shipping documents and 10% on commissioning, by SWIFT bank transfer. Late payments may attract interest at the rate permitted by the law of the contracting entity's jurisdiction. ETS reserves the right to suspend manufacturing, shipment or warranty support for accounts in arrears.

    Delivery, Incoterms and Risk

    Delivery is made under the Incoterms® 2020 rule specified in the quotation or order acknowledgement (typically EXW Jebel Ali, FCA, FOB or CIF for international shipments; DAP or DDP where agreed). Title and risk pass to the buyer at the point defined by the agreed Incoterm. Delivery dates are estimates given in good faith and are not binding unless confirmed in writing as a contractual milestone. ETS is not liable for delays caused by force majeure, late receipt of approvals, missing site information, customer-driven design changes or third-party logistics events.

    Warranty and Limitation of Liability

    Unless otherwise specified in the contract, ETS warrants its products against defects in materials and workmanship for a period of twelve (12) months from the date of commissioning or eighteen (18) months from the date of shipment from our works, whichever expires first. The warranty is conditional on transport, storage, installation, commissioning, operation and maintenance being carried out strictly in accordance with the relevant Operation and Maintenance manual and applicable standards. The warranty does not cover damage caused by misuse, improper installation, modifications, accidents, lightning, system overvoltage outside the rated insulation level, or normal wear of consumables. To the maximum extent permitted by law, ETS's total aggregate liability arising out of or in connection with any product or service is limited to the price paid for the specific product or service giving rise to the claim. ETS shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profit, loss of use, loss of revenue or loss of data, regardless of the cause of action.

    Confidentiality and Technical Data

    Both parties agree to treat as confidential any technical, commercial, design or business information disclosed during a tender, project or supply relationship, and to use such information solely for the purpose of evaluating, executing and servicing the project. Confidentiality obligations survive termination for a period of five (5) years, and indefinitely for trade secrets. Where a separate Non-Disclosure Agreement is signed, that agreement governs the confidentiality terms.

    Export Controls and Sanctions Compliance

    Power transformers and switchgear can be subject to export-control regulations. ETS complies with all applicable export-control and sanctions regimes, including those administered by the United States (OFAC, EAR), the United Kingdom (OFSI, ECJU), the European Union and the United Arab Emirates. By placing an order, the buyer confirms that the products will not be re-exported, re-sold, transferred or used, directly or indirectly, in violation of any applicable export-control law or sanctions programme, and will not be supplied to any sanctioned end-user, end-use or destination. ETS reserves the right to refuse, delay or cancel any order that, in its reasonable opinion, would breach these obligations.

    Force Majeure

    Neither party is liable for any failure or delay in performing its obligations (other than payment obligations) caused by an event beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, strike, fire, flood, severe weather, raw-material shortage, regulatory action, or interruption of utilities or transportation. The affected party will notify the other promptly and use reasonable efforts to mitigate the impact.

    Governing Law and Dispute Resolution

    These Terms and any contract concluded with Emirates Transformer & Switchgear LLC (UAE entity) are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Disputes that cannot be resolved amicably will be referred to arbitration administered by the Dubai International Arbitration Centre (DIAC) under its rules in force, in English, seated in Dubai. For contracts concluded with ETS USA, the laws of the State of Delaware apply, with venue in the state and federal courts located in Delaware. For contracts concluded with Sura Power Ltd, the laws of England and Wales apply, with the courts of England and Wales having exclusive jurisdiction. Specific contracts may stipulate alternative governing law and forum, in which case those provisions take precedence.

    Changes, Severability, Notices and Contact

    We may revise these Terms at any time by posting an updated version on this page; the revised Terms apply to use of the Site and engagements after the effective date. If any provision is found to be unenforceable, the remaining provisions remain in full force and effect. No failure to enforce any right is a waiver of that right.
